Terms of Service (TOS) & Client Consent

1. Definitions

  1. Owner / We / Us / Our: SHERASIYA RIYAZUDIN RASUL, the SEBI-registered Research Analyst providing research services, including its employees and affiliates.
  2. User / Client / You / Your: any individual or legal entity subscribing to or using the research services provided by SHERASIYA RIYAZUDIN RASUL.
  3. Parties: collectively, SHERASIYA RIYAZUDIN RASUL and the User/Client.

2. Assent & Acceptance

  1. By subscribing to or using the research services, you confirm that you have read, understood and agreed to these Terms of Service.
  2. If you do not agree with these terms you should not avail the services, and may seek a refund immediately if applicable.
  3. Access to research services is granted only upon acceptance of these Terms and any additional terms associated with a specific service.

3. Service Subscription and Obligations

  1. Subscription confirmation: by accepting the research services you acknowledge voluntary subscription and acceptance of terms complying with the SEBI (Research Analysts) Regulations, 2014.
  2. Regulatory compliance: both the Client and SHERASIYA RIYAZUDIN RASUL must comply with all applicable SEBI laws, RA Regulations and government notifications as amended from time to time.
  3. Non-execution of trades: we do not execute or carry out any purchase or sale transaction on your behalf. You are advised not to permit the Research Analyst or its representatives to execute trades on your behalf.

4. Client Information & KYC

  1. Clients must provide complete and accurate personal and financial details as required by our standard KYC format.
  2. Supporting documentation as per SEBI and RAASB guidelines must be submitted, and will be verified with a KYC Registration Agency (KRA).
  3. Clients are required to keep their contact details, including email address and mobile number, updated with us at all times.

5. Standard Terms of Service & Client Consent

Clients agree and certify that:

  1. I / We have read and understood the provisions of the SEBI (Research Analysts) Regulations, 2014.
  2. I / We have subscribed to the research service for personal use only, and will exercise independent judgement before relying on the conclusions of any report.

And acknowledge the following risk factors and disclaimers:

  1. “Investment in securities market are subject to market risks. Read all the related documents carefully before investing.”
  2. Holding open positions without stop-loss or target prices can lead to significant losses; clients should exit such positions if a 20% loss threshold is reached.
  3. Market conditions can cause partial or total loss of invested capital.
  4. “Registration granted by SEBI and certification from NISM do not guarantee the performance of the intermediary nor assure returns to investors.”
  5. Past performance is not indicative of future results.
  6. There is no guarantee of returns on recommendations.
  7. No claim or compensation can be made for losses arising from acting on research recommendations.

  6. Maximum fee charged: ₹1,51,000 per annum per family of client, from individual and HUF clients. This limit does not apply to non-individual clients or accredited investors. No GST is charged or collected.
  7. No assurance or guarantee of return is provided on research recommendations.
  8. The Research Analyst declares no conflict of interest and no other professional business adversely affecting independence.
  9. Artificial Intelligence tools are used occasionally to support fundamental and technical analysis. Associated risks include data bias, system failures and security breaches.

7. Payment Terms

  1. Current subscription fees are published on our Services page and are quoted in Indian Rupees. No GST is added.
  2. Fees must be paid using the authorised modes and channels prescribed by us — cheque, online bank transfer, UPI or other SEBI-approved methods. Cash payment is not allowed.
  3. Clients may optionally pay through the Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited, the currently recognised RAASB.
  4. Advance fees: fees may be charged in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. Plans with a term longer than three months are therefore billed in quarterly instalments and are not collected upfront for the full term.
  5. In case of premature termination of the research services by either the client or the Research Analyst, the client is entitled to a refund of proportionate fees for the unexpired period. See our Refund & Cancellation Policy.
  6. Payments must be made only to the official bank account in the firm's name, through the official website, or via a CeFCoM link. Never pay into a personal UPI ID, an unofficial bank account, or through an unverified third-party link.
  7. If you engage with unauthorised persons, including employees or associates offering return guarantees, without officially informing us, we will not be liable for any resulting losses or liabilities.

8. Risk Factors

  1. Investments carry inherent market, financial, operational, regulatory, litigation and credit risks, including fluctuations in market conditions, changes in law, cyber risks and legal disputes.
  2. Market risk warning: investment in securities markets is subject to market risks. Read all related documents carefully before investing.
  3. Open positions: positions without specified stop-loss or target levels carry significantly higher loss potential.
  4. Futures & Options: high risk is involved; suitable only for investors with an appropriate risk appetite.
  5. Registration granted by SEBI, membership of a SEBI-recognised supervisory body, and NISM certification in no way guarantee performance of the intermediary or provide any assurance of returns to investors.
  6. There is no recourse or right to claim compensation for losses arising from investment decisions based on research recommendations or calls.

9. Additional Warnings and Disclaimers

  1. No warranty or guarantee is made regarding the accuracy, results or reliability of research, including research shared on social media platforms.
  2. Any assured, guaranteed or fixed return scheme is prohibited by law and shall never be offered to you. Report any such offer to us and to SEBI immediately.
  3. Client confidentiality and data security are strictly maintained. See our Privacy Policy.
  4. We will never request your trading, demat or bank account login credentials or OTPs. Never share such information with anyone, including us.

10. Conflict of Interest and Compliance

  1. We fully comply with SEBI's disclosure and conflict of interest requirements, and will promptly inform you of any conflict that may affect the services rendered to you.
  2. There are no conflicts, financial interests or compensation arrangements from subject companies influencing our research reports.

11. Model Portfolio

Where applicable, model portfolios are recommended in strict adherence to SEBI guidelines and are provided for informational purposes only.

12. Client-Level Segregation

  1. Existing clients cannot receive both research and distribution services from the same group or family.
  2. New clients must select only one service at onboarding — either research or distribution.

13. Grievance Redressal

Clients should report issues such as non-receipt of, or deficiency in, reports to the designated personnel:

14. Service Suspension & Termination

We reserve the right to suspend or terminate services, with or without notice, in the event of:

  1. violation of these Terms of Service;
  2. a regulatory direction; or
  3. non-payment beyond the applicable grace period.

Refunds on termination or registration suspension will be made on a pro-rata basis as per applicable SEBI regulations.

15. Governing Law

These Terms of Service are governed by Indian law, and specifically by the SEBI (Research Analysts) Regulations, 2014 together with the circulars and directions issued by SEBI and RAASB from time to time.

16. Amendments

  1. We may update or modify these Terms in accordance with SEBI regulations.
  2. Material changes will be notified on the website or by email.
  3. Continued use of the services signifies acceptance of the updated terms.

17. Indemnification

You agree to indemnify and hold harmless SHERASIYA RIYAZUDIN RASUL, its officers and employees against all claims arising from your breach of these Terms or misuse of the service.

Protection Against Social Media Scams

  1. Beware of unsolicited messages or links inviting you to WhatsApp or Telegram groups offering “VIP” trading tips or free courses.
  2. Scammers create fake profiles impersonating market experts, our representatives, SEBI-registered intermediaries or public figures.
  3. Fabricated testimonials and success stories are used to lure investors into transferring funds on false promises of high returns.
  4. Verify our registration on the SEBI portal, and communicate only through the official email address listed there.
  5. If you receive communication from an unrecognised or personal email address, treat it as a potential scam and report it to us.
